1. General Provisions and Subject Matter of the Public Offer

1.1. BOXSTORE LLC, INN (taxpayer ID) 9724074324, OGRN 1227700127368 (hereinafter the Manufacturer), offers to conclude this agreement on the terms of a public offer (hereinafter the Agreement). This offer is valid for individuals only.

1.2. In accordance with clause 2 of Article 437 of the Civil Code of the Russian Federation, the person who accepts (agrees to the terms of) the Agreement becomes the Customer.

1.3. The Manufacturer provides the Customer with the opportunity, through the interface of the website https://boxstore.ru (hereinafter the Website), to order packaging manufactured to the Customer's individual specification within the models, sizes and colors offered by the Manufacturer on the Website (hereinafter the Goods), and the Manufacturer undertakes to manufacture the Goods in accordance with the paid order and to transfer them to the Customer in the manner provided for in Section 2 of the Agreement. The Agreement is a retail sale and purchase agreement concluded remotely (Article 497 of the Civil Code of the Russian Federation, Article 26.1 of Law of the Russian Federation No. 2300-1 of 07.02.1992 “On Protection of Consumer Rights”, hereinafter the Consumer Protection Law).

1.4. The provisions of the Consumer Protection Law apply to the relations between the parties if the Customer purchases the Goods exclusively for personal, family, household and other needs not related to the conduct of business activities.

1.5. Acceptance takes place at the moment the order is paid for. Payment for an order is not possible without prior consent to the terms of the Agreement.

1.6. By accepting the Agreement in the manner set out in clause 1.5, the Customer confirms that the Customer has read and agrees with all the terms of the Agreement and accepts them fully and unconditionally in the form in which they are set out. The Customer agrees that acceptance of the Agreement in the manner specified in clause 1.5 of the Agreement constitutes conclusion of the Agreement on the terms set out therein.

1.7. The Goods are manufactured to an individual order, have individually defined properties and may be used exclusively by the Customer. The Customer is not entitled to refuse manufactured Goods of proper quality (paragraph 4 of clause 4 of Article 26.1 of the Consumer Protection Law). This rule does not limit the Customer's rights if defects are discovered in the Goods. The procedure for withdrawing from the Agreement before the order is put into production is set out in Section 5 of the Agreement.

1.8. The Agreement does not require affixing seals and (or) signing by the Customer or the Manufacturer, and at the same time has the legal force of a document executed in writing on paper.

2. Placing an Order, Manufacture of the Goods, Delivery

2.1. For each packaging model, the Website contains a page (hereinafter the Packaging Page) that sets out information on the characteristics of the packaging, the range of colors and other information. The Customer is given the opportunity to set the specification: the color of the packaging, the required dimensions of the packaging and the required quantity of packaging items, from the options offered.

2.2. The order price and delivery times shown on the Packaging Page are preliminary. The final price of the Goods is generated in the Cart at the time of payment and includes VAT. The delivery cost is determined by the Manufacturer taking into account the delivery address, the characteristics of the order and the delivery option selected by the Customer, is displayed in the Cart before the order is paid for, and may be shown in the cash register receipt as a separate line item. No delivery cost is charged for pickup.

2.3. To order packaging, after selecting the specification on the Packaging Page, the Customer adds the selected packaging to the section of the Website where the order is placed (hereinafter the Cart) by clicking the “Add to cart” button.

2.4. In the Cart, the Customer enters correct data for generating the order and the delivery address, selects a delivery option from those offered by the Manufacturer, places the order by clicking the “Order” button and pays for the order through the Manufacturer's payment system. The cash register receipt is sent to the Customer in electronic form to the email address or phone number specified when placing the order. The Customer bears the risk of the consequences of providing incorrect data.

2.5. After receiving the order, the Manufacturer sends to the Customer's email a message containing the order number and the packaging specification. The Customer must check the data in the message and, if the specification does not meet the Customer's requirements, immediately notify the Manufacturer thereof.

2.6. The order is put into production after payment is received. After the order has been put into production, the specification cannot be changed.

2.7. The Manufacturer may refuse to perform the order before it is put into production if the specification is technically unfeasible, the Customer's artwork does not meet the requirements of Section 3 of the Agreement, or an obvious technical error in the price was made on the Packaging Page. In this case, the Manufacturer notifies the Customer and refunds the amount paid in full within 10 days.

2.8. The Manufacturer undertakes to manufacture the Goods and hand them over to the delivery service no later than 14 business days from the date payment is received.

2.9. The Manufacturer notifies the Customer by email that the order has been handed over to the delivery service, indicating the shipment number if one has been assigned by the delivery service.

2.10. The delivery period (the period for transfer of the Goods to the Customer) is determined when the order is placed and is indicated in the Cart and (or) in the order confirmation. The delivery period is calculated from the moment the Goods are handed over to the delivery service and is not included in the manufacturing period.

2.11. If the time limit for transfer of prepaid Goods is violated, the Customer may make the demands provided for in Article 23.1 of the Consumer Protection Law.

2.12. To deliver the Goods, the Manufacturer engages delivery services in its own name and at its own expense. The Customer is not a party to the agreements concluded by the Manufacturer with such persons. Ownership of the Goods and the risk of their accidental loss or damage pass to the Customer from the moment the Goods are handed to the Customer or to a person designated by the Customer. Pickup is possible only by separate agreement with the Manufacturer.

2.13. If the order is delivered within the period established by the Agreement but is not received by the Customer for reasons attributable to the Customer and is returned to the Manufacturer, redelivery is carried out within new time limits agreed with the Manufacturer after the Customer pays the cost of redelivery determined in accordance with the rules of clause 2.2 of the Agreement. If the order is not received for reasons attributable to the Manufacturer or the delivery service, redelivery is carried out at the Manufacturer's expense. The Manufacturer stores the returned Goods for 30 calendar days from the date of return and, no later than 5 business days before the expiry of this period, sends the Customer an email warning about the consequences of failure to receive the Goods. During the storage period, the Customer's obligation to accept the Goods remains in effect (clause 1.7 of the Agreement). If, during the storage period, the Customer has neither agreed on redelivery nor received the Goods, the Manufacturer may withdraw from the Agreement due to the Customer's failure to accept the Goods (clause 3 of Article 484 of the Civil Code of the Russian Federation) and dispose of the Goods. In this case, the amount paid for the order is offset against reimbursement of the Manufacturer's expenses for manufacturing the Goods to an individual order and for their delivery, return, storage and disposal, and is not refunded to the Customer. The parties proceed on the basis that these expenses correspond to the price of the order, since the Goods have been manufactured to an individual order and cannot be sold to another person.

3. Customer's Artwork

3.1. If the packaging model provides for the application of an image, the Customer submits the artwork (image, logo, text) via the Website in the format and with the parameters specified on the Packaging Page.

3.2. The Customer warrants that the Customer holds the rights to use the artwork, including trademarks, images, fonts and texts, and that the application of the artwork to the packaging does not infringe the rights of third parties or the requirements of the law.

3.3. The Manufacturer does not check the artwork for spelling, semantic or other errors and is not responsible for such errors. The Manufacturer may refuse to apply the artwork if it contains materials whose distribution is prohibited by law or if it infringes the rights of third parties.

4. Quality of the Goods

4.1. The manufactured Goods must conform to the order specification and the description on the Packaging Page.

4.2. In the manufacture of packaging, a deviation of no more than 5 mm in each dimension is permitted. Such a deviation does not constitute a defect.

4.3. The color of the packaging on the screen of the Customer's device may differ from the actual color of the material. The shade of the material, including kraft cardboard, may vary slightly between batches. Such differences do not constitute a defect if the color corresponds to the one selected in the specification.

4.4. Technological features of the material: marks from creasing, scoring, gluing and die-cutting that are acceptable for this type of packaging do not constitute a defect.

4.5. If defects are discovered in the Goods, the Customer may make the demands provided for in Article 18 of the Consumer Protection Law. To have the request considered, the Customer is advised to send the Manufacturer photographs of the Goods and a description of the defect to in@boxstore.ru, indicating the order number.

5. Withdrawal from the Agreement and Refunds

5.1. The Customer may withdraw from the Agreement before the order is put into production by sending a notice to in@boxstore.ru indicating the order number. In this case, the Manufacturer refunds the amount paid in full.

5.2. After the order has been put into production, refusal of Goods of proper quality is not possible by virtue of clause 1.7 of the Agreement.

5.3. Refunds are made within 10 days from the date of receipt of the relevant demand, using the same method by which payment was made.

6. Liability, Requests and Disputes

6.1. The Manufacturer is liable to the Customer for all obligations.

6.2. The Customer is responsible for the accuracy of the data provided when placing the order, for the content of the artwork and for the conformity of the specification to the Customer's needs.

6.3. The Manufacturer is not liable for a delay in delivery by the delivery service if the Goods were handed over to the delivery service within the period established by clause 2.8 of the Agreement.

6.4. The Customer may send requests and claims to in@boxstore.ru or by post to the Manufacturer's address specified in Section 9. The Manufacturer considers the request and sends a response no later than 10 days from the date of its receipt. Sending a claim is the Customer's right and is not a mandatory precondition for applying to a court.

7. Force Majeure

7.1. A party is released from liability for failure to perform obligations if such failure is caused by force majeure circumstances: natural disasters, fire, military operations, acts of public authorities prohibiting or restricting the party's activities, and other circumstances that the party could neither foresee nor prevent.

7.2. The party affected by such circumstances notifies the other party within 5 business days. The time for performance of obligations is extended for the duration of such circumstances. If the circumstances last more than 30 days, either party may withdraw from the Agreement, in which case the Manufacturer refunds the amount paid.

8. Other Terms

8.1. The Manufacturer reserves the right to amend or supplement any of the terms of the Agreement at any time by publishing all amendments at https://boxstore.ru/oferta-dlya-fizicheskih-lits. The new version of the Agreement applies to orders paid for after its publication. Orders paid for earlier are governed by the version in effect at the time of payment.

8.2. The parties recognize the sending of messages to the parties' email addresses as a proper method of transmitting legally significant information: by the Customer, from the address specified when placing the order; by the Manufacturer, from in@boxstore.ru or another address in the boxstore.ru domain. A message is deemed received on the business day on which it is sent or, if sent outside working hours, on the next business day.

8.3. The Customer must promptly notify the Manufacturer of any change in the Customer's email address and phone number. Until such notice is received, notifications sent using the previous details are deemed proper.

8.4. The Customer's personal data are processed by the Manufacturer for the purpose of concluding and performing the Agreement in accordance with the Personal Data Processing Policy posted at https://boxstore.ru/politconf. Data required for delivery are transferred to the delivery service.

8.5. In all matters not regulated by this Agreement, the parties are guided by the applicable legislation of the Russian Federation.

8.6. A court ruling that any provision of the Agreement is invalid does not entail the invalidity of its remaining provisions.
