1. General Provisions and Subject Matter of the Public Offer

1.1. BOXSTORE LLC, INN (taxpayer ID) 9724074324, OGRN 1227700127368 (hereinafter, the Manufacturer), offers to enter into this agreement on the terms of a public offer (hereinafter, the Agreement). This offer is valid only for legal entities and individual entrepreneurs.

1.2. In accordance with Clause 2 of Article 437 of the Civil Code of the Russian Federation, the person who effects acceptance (acceptance of the terms) of the Agreement becomes the Customer.

1.3. The Manufacturer provides the Customer with the opportunity, via the interface of the website https://boxstore.ru (hereinafter, the Website), to order packaging manufactured to the Customer's individual specification within the models, sizes and colors offered by the Manufacturer on the Website (hereinafter, the Goods), and the Manufacturer undertakes to manufacture the Goods in accordance with the paid invoice-contract and to transfer them to the Customer in the manner provided for in Section 2 of the Agreement. The Agreement is a contract for the sale and purchase (supply) of Goods manufactured to individual order.

1.4. Acceptance takes place at the moment the invoice (invoice-contract) is paid. Payment is not possible without prior consent to the terms of the Agreement.

1.5. By accepting the Agreement in the manner specified in Clause 1.4, the Customer confirms that it has read, agrees with, and fully and unconditionally accepts all the terms of the Agreement in the form in which they are set forth. The Customer agrees that acceptance of the Agreement in the manner specified in Clause 1.4 of the Agreement constitutes the conclusion of the Agreement on the terms set forth therein.

1.6. The invoice-contract (if any) specifies the terms of the Agreement in relation to a particular order: the specification, the price, including the transport component of the price of the Goods, and the manufacturing period. In the event of a conflict between the invoice-contract and the text of the Agreement, the invoice-contract shall prevail.

1.7. The Customer confirms that the person placing an order on its behalf on the Website and conducting correspondence from the email address specified when placing the order is authorized to perform such actions. Actions performed using the Customer's account on the Website or from the email address specified by the Customer shall be deemed to have been performed by the Customer.

1.8. The Agreement does not require sealing and/or signing by the Customer or the Manufacturer and, at the same time, has the legal force of a document in written form executed on paper. At the Customer's request, the Manufacturer shall sign the invoice-contract and send it via an electronic document interchange system or on paper.

2. Placing an Order, Invoice-Contract, Manufacture of the Goods, Delivery

2.1. For each packaging model, the Website contains a page (hereinafter, the Packaging Card) that provides information on the characteristics of the packaging and the range of colors. The Customer is given the opportunity to set the specification: the color of the packaging, the required dimensions of the packaging and the required quantity of packaging, from the options offered.

2.2. The order cost and delivery periods shown in the Packaging Card are preliminary. The final price of the Goods is stated in the invoice or invoice-contract and includes VAT at the rate in effect on the date of shipment.

2.3. The price of the Goods consists of a base component and a transport component. The transport component is determined by the Manufacturer taking into account the address at which the Goods are to be transferred, the characteristics of the order (weight, volume, number of shipping pieces) and the delivery option selected by the Customer; it is calculated on the Website when the order is placed and is stated in the invoice-contract. The transport component is an integral part of the price of the Goods and is not the cost of a separate service of carriage, freight forwarding or courier delivery.

2.4. The base and transport components of the price may be stated separately in the invoice, the invoice-contract, the universal transfer document and other documents solely for the purpose of detailing how the price of the Goods is formed. Stating the price components separately does not mean that a separate service is rendered to the Customer. The transport component is fixed in the invoice or invoice-contract and is not subject to revision after shipment, except in the case provided for in Clause 2.17 of the Agreement. In the case of pickup, no transport component is charged.

2.5. To order packaging, after selecting the specification in the Packaging Card, the Customer adds the selected packaging to the section of the Website where the order is placed (hereinafter, the Cart) by clicking the “Add to cart” button.

2.6. In the Cart, the Customer enters correct details for generating the invoice or invoice-contract with the Manufacturer and the address at which the Goods are to be transferred, selects a delivery option from those offered by the Manufacturer (the options differ in timing and in the amount of the transport component of the price) and places the order by clicking the “Order” button. The Customer bears the risk of the consequences of providing incorrect details.

2.7. Upon receipt of the order, the Manufacturer sends to the Customer's email an invoice or invoice-contract stating the packaging specification and the base and transport components of the price. The Customer must check the specification in the invoice-contract and, if it does not meet the Customer's requirements, immediately notify the Manufacturer thereof. Payment of the invoice-contract confirms the Customer's agreement with the specification.

2.8. Payment is made by the Customer to the Manufacturer's bank details specified in the invoice or invoice-contract.

2.9. The invoice or invoice-contract is valid for payment for three business days from the moment it is sent to the Customer. If payment is received after this period, the Manufacturer may, at its option, either accept the order for performance on the terms of the invoice-contract or, within three business days, send the Customer a new invoice-contract with the current price and manufacturing period. If the Customer does not pay the new invoice-contract within three business days, the Manufacturer shall return the amount received.

2.10. The order is put into production after payment is credited to the Manufacturer's bank account. Once the order has been put into production, the specification cannot be changed.

2.11. The Manufacturer may refuse to perform an order before it is put into production if the specification is technically impracticable, the Customer's artwork does not meet the requirements of Section 3 of the Agreement, or an obvious technical error in the price has been made in the Packaging Card or the invoice-contract. In this case, the Manufacturer shall notify the Customer and refund the amount paid within five business days.

2.12. The Manufacturer undertakes to manufacture the Goods and hand them over to the carrier for dispatch to the Customer within the period specified in the invoice or invoice-contract or, if no period is specified, no later than 14 business days from the date the payment is received.

2.13. The Manufacturer shall notify the Customer by email of the handover of the Goods to the carrier, stating the shipment number if one has been assigned by the carrier.

2.14. The period for delivery of the Goods to the Customer's address is approximate, depends on the region and the selected delivery option, is stated in the invoice-contract for reference only and is not included in the period established by Clause 2.12 of the Agreement.

2.15. If the manufacturing deadlines are breached, the Customer may, at its option, demand a refund of the amount paid or agree on new manufacturing deadlines.

2.16. To transfer the Goods to the Customer, the Manufacturer engages carriers and courier services in its own name and at its own expense. The Customer is not a customer, principal or party to the agreements concluded by the Manufacturer with such persons. The Manufacturer's obligation to transfer the Goods shall be deemed fulfilled, and title to the Goods and the risk of their accidental loss or damage shall pass to the Customer, at the moment the Goods are handed over to the first carrier. In the case of pickup, which is possible only by separate agreement with the Manufacturer, the obligation shall be deemed fulfilled, and title and risk shall pass, at the moment the Goods are handed over to the Customer or its representative.

2.17. If the Goods were dispatched within the period established by the Agreement but were not received by the Customer for reasons attributable to the Customer and were returned to the Manufacturer, re-dispatch shall be carried out after agreement by the Parties and payment by the Customer of an additional transport component of the price calculated in accordance with the rules of Clause 2.3 of the Agreement. The change in price shall be documented by an agreement of the Parties on the change in the cost of the Goods, which may be concluded by an exchange of email messages, and by an adjustment universal transfer document. If the Goods were not received by the Customer for reasons attributable to the Manufacturer or the carrier, re-dispatch shall be carried out at the Manufacturer's expense. The Manufacturer shall store the returned Goods for 30 calendar days from the date of return and, no later than 5 business days before the expiry of this period, shall send the Customer by email a warning about the consequences of failure to collect the Goods. If, during the storage period, the Customer has neither agreed on re-dispatch nor received the Goods, the Customer instructs the Manufacturer to cease storing the Goods and to hand them over for disposal, either on its own or with the involvement of third parties. The costs of storage and disposal shall be borne by the Customer. The amount paid for the order shall not be refunded, since the Manufacturer's obligation to transfer the Goods has been fulfilled in accordance with Clause 2.16 of the Agreement.

3. Customer's Artwork

3.1. If the packaging model provides for the application of an image, the Customer submits the artwork (image, logo, text) via the Website or by email in the format and with the parameters specified in the Packaging Card. If the artwork is received after payment, the manufacturing period is calculated from the moment the Manufacturer receives artwork that meets the requirements.

3.2. The Customer warrants that it holds the rights to use the artwork, including trademarks, images, fonts and texts, and that the application of the artwork to the packaging does not infringe the rights of third parties or the requirements of legislation, including legislation on advertising and on labeling.

3.3. The Manufacturer does not check the artwork for spelling, semantic or other errors and is not liable for such errors. The Manufacturer may refuse to apply the artwork if it contains materials the distribution of which is prohibited by law, or if it infringes the rights of third parties.

4. Quality of the Goods and Acceptance

4.1. The manufactured Goods must conform to the specification in the invoice (invoice-contract) and to the description in the Packaging Card.

4.2. In the manufacture of packaging, a tolerance of no more than 5 mm in each dimension is permitted. Such a tolerance does not constitute a defect.

4.3. The color of the packaging on the screen of the Customer's device may differ from the actual color of the material. The shade of the material, including kraft board, may vary slightly between batches and within a batch. Such variations do not constitute a defect if the color corresponds to the one selected in the specification.

4.4. Technological features of the material: marks from creasing, scoring, gluing and die-cutting that are acceptable for this type of packaging do not constitute a defect.

4.5. On the date the Goods are handed over to the first carrier, the Manufacturer generates a universal transfer document (UPD) and sends it to the Customer via an electronic document interchange system or, if the Customer does not have one, on paper.

4.6. The Customer must inspect the Goods upon receipt and, within five business days from receipt, either sign the UPD or send the Manufacturer a reasoned refusal of acceptance describing the defects found and accompanied by photographs. If neither a signed UPD nor a reasoned refusal has been received within this period, the Goods shall be deemed accepted without objections as to quantity, dimensions, color and obvious defects.

4.7. The Customer may submit claims regarding latent defects that could not have been detected upon acceptance within 7 business days from receipt of the Goods, attaching photographs and a description of the defect. The Manufacturer may request samples of the Goods for inspection.

4.8. If the defects are confirmed, the Manufacturer shall, at its option, remedy them free of charge, remanufacture the Goods within no more than 14 business days, or reduce the price proportionately. If the Manufacturer fails to remedy the defects within the specified period, the Customer may withdraw from the Agreement with respect to the Goods of improper quality and demand a refund of the amount paid for them.

5. Withdrawal from the Agreement and Refunds

5.1. The Customer may withdraw from the Agreement before the order is put into production by sending a notice to in@boxstore.ru stating the number of the invoice-contract. In this case, the Manufacturer shall refund the amount paid in full within 5 business days.

5.2. After the order has been put into production, the Customer may not withdraw from the Agreement, except in the cases provided for by the Agreement and the legislation of the Russian Federation, and the amount paid shall not be refunded. Manufactured Goods of proper quality are not subject to return or exchange. If Goods of proper quality are returned by agreement of the parties, the transport component of the price shall not be refunded.

5.3. Refunds are made to the bank account from which the payment was received.

6. Liability, Procedure for Submitting Claims and Resolving Disputes

6.1. The Manufacturer is liable to the Customer for all obligations.

6.2. The Manufacturer's liability under the Agreement is limited to the cost of the relevant order. The Manufacturer shall not compensate the Customer's lost profits and indirect losses, including those related to downtime, disruption of the Customer's supplies to third parties and the inability to use the Goods.

6.3. The Customer is responsible for the accuracy of the details provided when placing the order, for the content of the artwork and for the suitability of the specification for its needs.

6.4. The Manufacturer shall not be liable for failure to meet the approximate delivery period if the Goods were handed over to the carrier within the period established by Clause 2.12 of the Agreement.

6.5. In the event of improper performance of obligations, claims shall be submitted by a party directly to the other party at the email address specified in the Agreement or when placing the order, with a duplicate sent by post to the party's address. A claim shall be considered no later than 30 days from the date of its receipt.

6.6. Disputes not settled through the claims procedure shall be heard by the Arbitrazh Court of the City of Moscow.

7. Force Majeure

7.1. A party shall be released from liability for non-performance of its obligations if such non-performance is caused by force majeure circumstances: natural disasters, fire, military operations, acts of public authorities prohibiting or restricting the party's activities, and other circumstances that the party could neither foresee nor prevent.

7.2. The party affected by such circumstances shall notify the other party within 5 business days. The time for performance of obligations shall be extended for the duration of such circumstances. If the circumstances last more than 30 days, either party may withdraw from the Agreement, in which case the Manufacturer shall refund the amount paid for the part of the order that has not been manufactured.

8. Other Terms

8.1. The Manufacturer reserves the right to amend or supplement any of the terms of the Agreement at any time by publishing all amendments at https://boxstore.ru/oferta-dlya-yuridicheskih-lits. The new version of the Agreement applies to orders paid after its publication. Orders paid earlier are governed by the version in effect on the date of payment.

8.2. The Parties recognize sending messages and documents to the parties' email addresses as a proper means of transmitting legally significant information: by the Customer, from the address specified when placing the order; by the Manufacturer, from the address in@boxstore.ru or another address in the boxstore.ru domain. A message shall be deemed received on the business day on which it is sent or, if sent outside business hours, on the next business day. The Parties may exchange documents via an electronic document interchange system.

8.3. The Customer must promptly notify the Manufacturer of any change in its details, email address and contact person. Until such notice is received, notifications sent using the previous details shall be deemed proper.

Data required for delivery are transferred to the carrier.
